Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of ZintLedger, a business record-keeping app operated by Niya Tech Labs Pty Ltd (“we”, “our”, or “us”).

By downloading, accessing, or using ZintLedger, you agree to these Terms. If you do not agree, you must not use the app.

1. About ZintLedger

ZintLedger is designed to help sole traders, freelancers, and small businesses record and organise business information such as expenses, income, receipts, evidence, quotes, invoices, payments, notes, and reports.

ZintLedger is a record-keeping tool only. It does not replace professional accounting, tax, legal, or financial advice.

2. ZintLedger Pocket and ZintLedger Plus

ZintLedger Pocket

ZintLedger Pocket is the on-device version of the app. Your app data is stored on your device and, where enabled by you, may sync through your Apple iCloud account.

For ZintLedger Pocket, we do not operate a central ZintLedger server that stores your app records. You are responsible for maintaining access to your device, Apple ID, iCloud account, and any backups or exports you create.

ZintLedger Plus

ZintLedger Plus, where offered, may include additional cloud-enabled features such as enhanced backup, multi-device sync, account access, business dashboard access, team or advisor access, integrations, or other paid functionality.

If you choose to use ZintLedger Plus, some of your records and files may be stored using secure third-party cloud storage and database services managed by us or our service providers. Plus is optional and may be subject to additional terms, pricing, limits, or feature-specific conditions.

3. Your Responsibilities

You are responsible for:

• Entering accurate and complete business records.
• Checking all amounts, GST treatment, business-use percentages, categories, and reports.
• Keeping your device, passcode, Apple ID, iCloud account, and ZintLedger account secure.
• Maintaining appropriate backups of important business records.
• Ensuring you have the right to store any supplier, customer, employee, contractor, or third-party information in the app.

4. Business Records, GST and Tax Use

ZintLedger may display summaries, reports, GST estimates, business-use calculations, evidence status, or other record-keeping information. These are provided to help you organise your records.

You remain responsible for deciding whether a record, expense, deduction, GST amount, business-use percentage, invoice, payment, or report is correct for your circumstances.

You should seek advice from a qualified accountant, tax agent, BAS agent, lawyer, or financial adviser where appropriate.

5. Accounts and Access

Some ZintLedger features may work without a ZintLedger account. Other features, including ZintLedger Plus features where offered, may require an account, sign-in, subscription, or additional verification.

You must not share your account credentials with unauthorised users. You must notify us promptly if you believe your account or data has been accessed without permission.

Face ID, Touch ID, and similar device unlock features are handled by Apple on your device. We do not receive or store your biometric information.

6. Subscriptions and Paid Features

ZintLedger may offer free features, paid features, subscriptions, or optional Plus plans. Prices, inclusions, billing periods, renewal terms, and cancellation options will be shown at the time of purchase where applicable.

If you purchase through the Apple App Store, Apple’s payment, cancellation, and refund processes may apply. If Plus is offered directly by us, the relevant billing terms will be provided before purchase or activation.

Nothing in these Terms limits any rights you may have under Australian Consumer Law.

7. Data, Storage and Privacy

Your use of ZintLedger may involve the storage and processing of business records and personal information, depending on what you enter into the app.

• Pocket: data is stored on your device and may sync through Apple iCloud if enabled.
• Plus: data may be stored using secure third-party cloud storage, database, backup, and support providers.

8. Acceptable Use

You must not use ZintLedger to:

• Engage in unlawful, misleading, fraudulent, or harmful activity.
• Create or store false, misleading, or fraudulent business records.
• Upload malware, corrupted files, or harmful content.
• Attempt to gain unauthorised access to the app, accounts, systems, or cloud services.
• Copy, modify, reverse engineer, scrape, or interfere with ZintLedger except where permitted by law.
• Infringe another person’s rights, privacy, intellectual property, or confidentiality obligations.

9. Intellectual Property

ZintLedger, including its software, design, branding, text, graphics, icons, workflows, and related materials, is owned by us or licensed to us.

We grant you a limited, non-exclusive, non-transferable licence to use ZintLedger for your own personal or business record-keeping purposes, subject to these Terms.

You retain ownership of the records, files, receipts, notes, and business information you enter into the app.

10. Third-Party Services

ZintLedger may rely on third-party services, including Apple services for app distribution, iCloud, device security, diagnostics, subscriptions, and payments.

ZintLedger Plus, where offered, may also use cloud hosting, database, file storage, authentication, payment, email, analytics, or support providers.

Third-party services may have their own terms and privacy policies. We are not responsible for failures, outages, changes, or actions of third-party services that are outside our reasonable control.

11. Security, Backups and Data Loss

We take reasonable steps to make ZintLedger reliable and secure. However, no app, device, cloud service, network, or storage method is completely secure or error-free.

You are responsible for maintaining backups or exports of important business records where the app supports this. You should not rely on ZintLedger as your only copy of legally or financially important records unless you have confirmed your own backup approach.

12. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any rights, guarantees, remedies, or protections that cannot be excluded, restricted, or modified under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law.

Subject to any non-excludable rights you may have, ZintLedger is provided on an “as is” and “as available” basis.

13. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or economic loss, including loss of profits, revenue, data, goodwill, opportunity, or business interruption.

We are not responsible for decisions you make based on records, summaries, reports, calculations, categories, GST estimates, or evidence stored in the app.

14. Changes to ZintLedger or These Terms

We may update ZintLedger and these Terms from time to time, including to add features, improve security, launch Plus features, change pricing, update service providers, or comply with legal or operational requirements.

If we make changes, we will update the “Last updated” date above. Your continued use of ZintLedger after changes take effect means you accept the updated Terms.

15. Suspension and Termination

You may stop using ZintLedger at any time. For Pocket, you may delete the app and manage related iCloud data through your Apple device or iCloud settings. For Plus, you may request account closure or data deletion by contacting us, subject to legal, backup, billing, security, and audit retention requirements.

We may suspend, restrict, or terminate access to ZintLedger or Plus features if you breach these Terms, fail to pay applicable fees, misuse the service, create security risk, or if we are required to do so by law.

16. Governing Law

These Terms are governed by the laws of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria and the courts entitled to hear appeals from those courts.
